The short version

- Automatic renewal of kit updates is optional and never selected for you. If you choose it, we email a reminder before each renewal, and you can cancel online at any time.
- Digital files can’t be returned, so sales are final once delivered, except as described under Refunds.
- Our materials are general information and templates, not legal advice.
- Utah law governs these Terms.

About these Terms
These Terms of Use (“Terms”) govern your use of keycompliancegroup.com (the “Site”) and the products you obtain from Key Compliance Group, LLC (“Key Compliance Group,” “we,” or “us”). By using the Site, downloading a free resource, or buying a product, you agree to these Terms and acknowledge our Privacy Policy. If you use the Site or buy a product on behalf of an institution, you represent that you are authorized to bind it, and “you” includes that institution.
Business use only
The Site and our products are intended for business use by banks, credit unions, fintech companies, and the professionals who work with them, and not for personal, family, or household use. Our materials address U.S. federal law and selected state requirements. They do not address the laws of other countries.
General information, not legal advice
Content on the Site and in our products, including articles, the FAQ, tools, and templates, is general information. It is not legal advice, and Key Compliance Group is not a law firm. Using the Site or buying a product does not create an attorney-client, consulting, advisory, or fiduciary relationship. Laws and regulatory expectations change and vary by institution. Content reflects our understanding as of the date it shows. Except for updates included with a product, we are not obligated to update it. Consult qualified counsel before relying on any material for a specific situation.
Advisory services
Advisory and consulting services, including the Tailored Policy Set, are provided only under a separate written agreement, such as an engagement letter or statement of work, signed by both parties. That agreement governs the services. If it does not address them, the sections of these Terms on disclaimer of warranties, limitation of liability, indemnification, and disputes and governing law also apply to the services, and our total liability for the services is limited to the fees paid under that agreement in the 12 months before the claim.
Information you send us before that agreement is signed is not treated as confidential client information unless we agree otherwise in writing. Please do not send us nonpublic personal information about your customers.
Using the Site
You may use the Site to read our content, obtain our free resources, and buy and download our products. You may not:
- use the Site for any unlawful purpose;
- copy, republish, or create derivative works from Site content except as these Terms allow;
- scrape, harvest, or bulk-download Site content or our materials, including to train or build artificial intelligence or machine learning models;
- submit false information, or another person’s information, through a Site form;
- share download links, or get around download limits or other access controls;
- try to gain unauthorized access to the Site or its systems, or interfere with their operation; or
- introduce malware or other harmful code.
Free resources
We may offer free tools, checklists, and other resources. They are licensed, not sold, on the same terms as the library materials described under License, for use within your organization. You may also share an unchanged copy of a free checklist, with our name on it, with a business partner such as your sponsor bank or a fintech you oversee. You may not sell, republish, or post free resources publicly.
Free resources are provided “as is,” without updates, and we may change or withdraw them at any time. Some free resources ask for your contact information, which we handle as described in our Privacy Policy.
Marketing Compliance Check
The Marketing Compliance Check (the “Checker”) screens marketing content you submit against our rule library and returns possible issues, citations, and suggested wording. The Checker uses artificial intelligence. Its results can be incomplete or wrong, and they are general information as described under General information, not legal advice. Your institution remains responsible for the final review and approval of its marketing, including any approvals required by its own policies or by its partners.
Access requires a confirmed email address. Free access includes a limited number of checks each calendar month, as shown on the Checker page. We may change the number of checks, the features, or the limits, or stop offering the Checker, at any time.
Submit only content you have the right to share with us, and don’t submit nonpublic personal information about your customers or other confidential information. You keep your rights in the content you submit and give us permission to process it, including through our service providers, to produce your results. You may use your results within your organization.
You may not use the Checker through automated means, share your sign-in, create more than one sign-in to get more checks, or try to extract or reconstruct our rule library or the Checker’s instructions.
Products, ordering, and payment
What is included. The product page at the time of your purchase describes what each product includes, the editions available, and whether updates are included. Library products are templates and are not tailored to your institution. Tailoring is an advisory service.
Prices and payment. Prices are in U.S. dollars and are per institution unless stated otherwise. Prices do not include taxes. You are responsible for any taxes that apply to your purchase, and we will collect them where required. Payments are processed by our third-party payment processor. If we agree to invoice you, payment is due as stated on the invoice. When you place an order, you confirm that the institution named on the order is the licensee and that the information you provide is accurate.
Our rights. We may correct pricing and other errors, and we may decline or cancel any order. If we cancel an order, we will refund the amount paid for it. If a payment is reversed, charged back, refunded, or not received, the license for that order ends, and you must stop using and delete the materials.
Delivery
Products are delivered electronically, usually by download link, after payment. Download links are available for a limited time and a limited number of downloads, so please save your files when you receive them. If you need help accessing a purchase, contact us.
License to library materials
Our policies, procedures, forms, tools, and other materials, including free resources, sample pages, and subscription content, are licensed, not sold. We grant the institution named on the order (the “licensee”) a non-exclusive, non-transferable license to use the materials internally in its own compliance program. The licensee is a single legal entity unless it buys a multi-entity license.
Who may use them. The licensee’s employees, and contractors and advisors working on the licensee’s behalf, may use the materials, but only for the licensee’s program. A consultant or advisor who buys materials for a client must place the order in the client’s name. The license belongs to the client, and the consultant may not reuse the materials for anyone else.
What the licensee may do. The licensee may:
- copy, edit, and adapt the materials for its own program;
- adopt them as its own policies and procedures, and remove Key Compliance Group’s name and branding from its adopted versions; and
- share its adopted versions with its board, sponsor bank or bank partners, regulators, examiners, auditors, and advisors.
What the licensee may not do. Without our written permission, the licensee may not:
- resell, sublicense, publish, post publicly, or otherwise distribute the materials, in original or edited form;
- use the materials to provide services to others, or include them in a product, template library, software, or service;
- use the materials to train, fine-tune, or build artificial intelligence or machine learning models, or to create a competing product; or
- share the files or download links with anyone outside the licensee, except as allowed above.
Affiliates. Use by more than one legal entity, such as affiliates under common ownership, requires a multi-entity license, which covers the entities named on the order. Contact us to arrange one.
Ownership. Key Compliance Group keeps all ownership rights in the materials. The licensee owns the institution-specific content it adds. On request, the licensee will confirm in writing that its use complies with this license.
Updates
Program kits include updates for 12 months from the purchase date, unless the product page states otherwise. Where a product page describes additional update terms, such as for a kit tied to a pending rule, those terms apply. Other products, including single policies and individual tools, are the version current at purchase and do not include updates unless the product page says so.
When a regulatory change materially affects a document during the included period, we update it, using our judgment about what the change requires and when. We do not promise to reflect every regulatory development or to meet any particular timeline. Updated files are sent to the email address used for the order.
After the included period, you can continue kit updates through an updates plan, either by choosing automatic renewal as described under Subscriptions and automatic renewal or by contacting us. You keep the files you have received either way.
Subscriptions and automatic renewal
Kit updates plans. When you buy a program kit, you may choose to have your updates renew automatically. This option is never selected for you. If you choose it:
- Your updates plan renews when the included 12 months end, on the date shown in your order confirmation, and every 12 months after that, for another 12 months of updates at the yearly price shown before you complete checkout, plus any applicable tax, charged to the payment method you provided.
- Because your first 12 months of updates are included with the kit, checkout may show that year as a trial period. There is no charge for the updates plan during that year.
- We email you a reminder 30 to 60 days before each renewal, with the renewal date, the amount, and how to cancel.
- The plan continues until you cancel.
Regulatory Change Brief. The Regulatory Change Brief is a subscription. It is billed in advance each month or each year, as shown before you complete checkout, plus any applicable tax, and it renews automatically at the end of each period until you cancel. A subscription includes the issue current when you subscribe and each issue published while it is active, delivered by email to the address used for the order. For yearly subscriptions, we email you a reminder 30 to 60 days before each renewal, with the renewal date, the amount, and how to cancel. Issues are licensed to the subscribing institution for internal use under License to library materials and may not be forwarded outside it.
Your authorization. By choosing automatic renewal or subscribing to the Regulatory Change Brief and completing checkout, you authorize us, through our payment processor, to charge your payment method for each renewal at the price disclosed to you until you cancel.
How to cancel. You can cancel at any time, at no cost, online in the customer portal (opens in a new tab) (sign in with the email address used for the order), or by emailing info@keycompliancegroup.com. If you email from an address other than the one on the order, we may ask you to confirm the request. To avoid the next charge, cancel before the renewal date.
What cancelling does. Cancelling stops future renewals and takes effect at the end of the current period. You keep every file delivered through that date. Except as described under Refunds or where the law requires, we do not give refunds or credits for partial periods.
Price changes and failed payments. We will email you at least 30 days before a new price applies to your next renewal, and you can cancel before then. If a renewal payment fails and is not completed, the plan or subscription ends.
Implementation call
Where a product includes an implementation call, its product page describes it. The call must be scheduled within 12 months of purchase. It provides general guidance on using the product. It is not legal advice and does not create an advisory engagement.
Refunds
Because our products are digital and cannot be returned, all sales are final once files are delivered, except:
- if a file is defective or you received the wrong edition, contact us within 30 days of purchase and we will replace it;
- if you bought the same product twice by mistake and have not downloaded the duplicate, contact us within 30 days and we will refund the duplicate;
- if an updates plan renews automatically and you contact us within 14 days of the renewal charge, we will cancel the plan and refund that charge, as long as no updated files have been sent to you since the renewal; and
- if we cancel an order, we will refund it in full.
Any other refund is at our discretion. When a product is refunded, its license ends and download access stops.
Your responsibilities and no guarantee of regulatory outcome
Our materials are templates. Your institution is responsible for tailoring them to its products, operations, and risk profile, adopting them through its own governance process, obtaining legal review where needed, and operating its compliance program. We do not guarantee that any material will satisfy a regulator, examiner, auditor, or bank partner, or that it reflects every requirement that applies to you.
Electronic communications
You agree that we may send you notices about your orders, subscriptions, and these Terms by email to the address you provide. Your choices about marketing email are described in our Privacy Policy.
Feedback
If you send us suggestions or comments about the Site or our products, we may use them without any obligation to you.
Intellectual property
The Site and its content, including text, graphics, logos, and library materials, belong to Key Compliance Group or its licensors and are protected by copyright and other laws. The Key Compliance Group name and logo are our trademarks. Except as these Terms allow, you may not use them without our written permission.
Disclaimer of warranties
The Site, its content, and all products, including free resources, are provided “as is” and “as available.” To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not promise that the Site will be uninterrupted, secure, or free of errors.
Limitation of liability
To the fullest extent the law allows, Key Compliance Group will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or business, arising from your use of the Site or our products. Our total liability for any claim relating to the Site or a product is limited to the amount you paid us for that product in the 12 months before the claim, or $100 if you paid nothing.
Indemnification
You agree to indemnify and hold harmless Key Compliance Group and its owners, employees, and agents from claims, losses, and expenses, including reasonable attorneys’ fees, arising from your misuse of the Site or our materials or your breach of these Terms.
Third-party services and links
The Site links to, and relies on, services and websites we do not control, including payment processing and government and news sources. We are not responsible for their content, terms, or practices.
Termination
We may suspend or end your access to the Site, or terminate a license, if you breach these Terms. If a license ends, you must stop using the materials and delete them, except copies you must keep by law or regulation. The sections on licensing limits, intellectual property, disclaimers, limitation of liability, indemnification, disputes, and governing law survive termination.
Disputes and governing law
If you have a concern, please contact us first. Before either of us files a claim, we will each try in good faith to resolve the dispute informally for 30 days after written notice.
These Terms are governed by the laws of the State of Utah, without regard to conflict of law rules. Any dispute will be resolved exclusively in the state or federal courts located in Utah, and you consent to their jurisdiction. Claims must be brought individually, not as part of a class or representative action. Either party may seek an injunction in any court to protect its intellectual property.
Changes to these Terms
We may update these Terms from time to time. Changes take effect when posted on this page, and the effective date above will change. Purchases are governed by the Terms in effect on the date of purchase, and a later change will not reduce the license you received with a product you already bought. If a change affects the renewal terms of an active subscription or updates plan, we will email you before it applies to your next renewal.
General
You may not assign these Terms or a license without our written consent, except to a successor in a merger or acquisition of the licensee, with written notice to us. We may assign these Terms in connection with a sale or transfer of our business. We are not responsible for delays caused by events outside our reasonable control. Our failure to enforce a provision is not a waiver. If any part of these Terms is unenforceable, the rest remains in effect. Notices to us go to info@keycompliancegroup.com.
These Terms, together with the product page and checkout terms for your order, are the entire agreement between you and Key Compliance Group about the Site and your purchases, unless you have a signed agreement with us that says otherwise.
